RevvBid Terms of Use and Vehicle Sale & Auction Agreement

0. Definitions

For purposes of these Terms of Use (“Terms”):

• “Platform” means the website located at www.revvbid.com and all related services.
• “Revvbid,” “we,” “us,” or “our” means Revvbid.com and its affiliates.
• “User,” “you,” or “Buyer” means any individual or entity accessing or using the Platform.
• “Dealer” means a licensed, independent third-party vehicle dealer offering vehicles through the Platform.
• “Vehicle” means any motor vehicle listed for sale through the Platform.
• “Bid” means an offer submitted by a User to purchase a Vehicle.
• “Accepted Bid” means a Bid accepted by the selling Dealer.
• “Transaction” means any vehicle-related purchase, bid, deposit, or sale process.
• “Storage Facility” means any third-party location where a Vehicle is held before pickup or transport.

1. Agreement to Terms

By accessing or using the Platform, creating an account, placing a bid, or participating in any Transaction, you agree to be legally bound by these Terms.
If you do not agree, do not use the Platform.

1.1 Eligibility

You must:

• Be at least 18 years old
• Have legal capacity to enter binding contracts
• Not be suspended or banned from the Platform

Revvbid reserves the right, in its sole discretion, to refuse service, suspend accounts, cancel bids, or terminate access at any time, with or without notice, for any reason, including suspected fraud, non-payment, or compliance concerns.

If account termination is not caused by Buyer fraud, violation of these Terms, or non-payment, any deposits for pending transactions will be refunded to Buyer.

2. License and Use Restrictions

2.1 Limited License

Revvbid grants you a limited, non-exclusive, non-transferable, revocable license to access the Platform solely for lawful vehicle-related Transactions.

2.2 Prohibited Activities

You may not:

• Copy, reproduce, scrape, or distribute Platform content
• Reuse photos or listings on other websites
• Frame, mirror, or republish the Platform
• Modify or reverse engineer any materials
• Use Platform content for unauthorized commercial purposes

2.3 Intellectual Property

All content, trademarks, and materials are owned by Revvbid or its licensors.
No ownership rights are transferred. Any violation immediately terminates your license.

3. Vehicle Sales and Conditions

3.1 AS-IS / WHERE-IS / NO RELIANCE

ALL VEHICLES ARE SOLD “AS-IS, WHERE-IS, WITH ALL FAULTS.”

There are no warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Condition, operability, or roadworthiness
• Presence of keys, accessories, or VIN plates

You acknowledge that:

• You have not relied on any representations or descriptions
• You are solely responsible for verifying vehicle condition and suitability

3.2 Vehicle Information Disclaimer

Vehicle descriptions are provided for convenience only and may be inaccurate or incomplete, including but not limited to:

• Mileage or odometer readings
• Damage descriptions
• Title status
• VIN accuracy
• Repair history
• Accessories or features

Revvbid does not independently verify vehicle information.

3.3 Pricing, Availability, and Cancellation

All prices and listings are subject to change without notice.
Dealers may refuse or cancel any Transaction prior to final payment.

If a Transaction is canceled after deposit acceptance, the deposit will be refunded unless cancellation results from Buyer default or violation of these Terms.

3.4 Risk of Loss and Storage

Risk of loss transfers to Buyer upon payment in full.

Storage Facilities act solely as bailees. Revvbid, Dealers, and Storage Facilities are not responsible for:

• Theft, vandalism, or weather damage
• Operational damage
• Acts of God
• Any claims after vehicle release

Storage Facility liability is limited to willful or gross negligence and capped at the lesser of vehicle value reduction or purchase price, with vehicle return required.

3.5 Transportation Disclaimer

Revvbid does not provide or control transportation services.

Once a Vehicle leaves storage:

• All risk transfers to Buyer
• Revvbid is not responsible for carrier negligence, damage, delays, or improper loading
• Transport arrangements are strictly between Buyer and carrier

4. Payments, Deposits, Fees, and Defaults

4.1 Security Deposits

a) Deposit Requirements

• Minimum deposit: USD $600 (bidding up to $6,000)
• Bids over $6,000 require a 10% deposit
• Revvbid may increase deposit requirements at its discretion

b) Deposit Application

• Lost bids: Deposit refundable if no outstanding obligations exist
• Winning bids: Deposit becomes non-refundable immediately upon acceptance and applies toward purchase price

c) Payment Deadline

Full payment must be made within three (3) calendar days of bid acceptance, including the winning day.

Late payments incur a USD $50 late fee per vehicle.

Failure to pay within seven (7) calendar days results in complete forfeiture of the deposit.

d) Deposit Forfeiture

Upon default, Revvbid may:

• Forfeit the entire deposit
• Offset penalties, fees, storage, or damages
• Pursue deficiency recovery beyond the deposit

e) Anti-Chargeback & Cost Recovery

Unauthorized chargebacks constitute misuse of the Platform. Revvbid may:

• Permanently ban Buyer
• Recover dispute costs, legal fees, and damages
• Report abuse to payment processors

4.2 Fees

Buyer is solely responsible for all fees, including but not limited to:

• Dealer price
• Auction fees
• Documentation fees
• Storage fees
• Transport fees
• Export/import fees
• Taxes and customs duties

Revvbid’s service fee is non-refundable once earned.

4.3 Payment Authorization

Buyer irrevocably authorizes Revvbid to charge any stored payment method for outstanding balances, penalties, storage fees, or Transaction-related obligations.

4.4 Default

Failure to pay within:

• 3 days: $50 late fee per vehicle
• 7 days: Default, resulting in deposit forfeiture, account suspension, collections, and reporting to auction partners

4.5 Refund Processing

Deposits for lost bids will be refunded within 48 hours after auction conclusion if no outstanding obligations exist.
Card providers may take 7–14 business days to post funds.

4.6 Storage Fees and Vehicle Removal

Buyer must remove or transport the Vehicle within three (3) calendar days of full payment.
Storage, demurrage, and yard fees accrue thereafter at rates set by the facility.

5. Registration, Title, and Compliance

5.1 Registration Disclaimer

Revvbid does not guarantee that any Vehicle can be registered, titled, or resold in any jurisdiction.

5.2 Title Timing

Title delivery timelines are not guaranteed. Delays caused by third parties are not Revvbid’s responsibility.

RevvBid.com’s responsibility for delivery of the vehicle title shall be deemed complete upon transfer of the title to the carrier and provision of the shipment tracking number to the buyer. Thereafter, RevvBid.com and its affiliated dealers shall bear no responsibility or liability for the title, including any loss, damage, delay, or failure of delivery while in transit.

All documents in the document module must be completed in order to receive the title.

5.3 Import / Export

Buyer is solely responsible for compliance with:

• Customs laws
• Emissions requirements
• Import/export regulations
• VAT, ITBIS, or foreign taxes

6. Dealer Relationship & Platform Role

All Vehicles are sold by independent, licensed Dealers.

Revvbid:

• Does not take title to vehicles
• Does not act as agent, fiduciary, or advisor
• Does not control Dealer conduct
• Operates solely as a marketing and transaction platform

7. Third-Party Content and Services

Revvbid does not endorse third-party services and is not responsible for their conduct or accuracy.
You release Revvbid from all liability related to third-party interactions.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS-IS” AND “AS-AVAILABLE.”

Revvbid disclaims all warranties, including accuracy, availability, security, and uninterrupted operation.

9. Limitation of Liability

To the maximum extent permitted by law:

• Revvbid’s total liability is limited to fees paid directly to Revvbid
• Revvbid is not liable for vehicle condition, pricing, transport, or consequential damages

10. Communications & Consent (TCPA)

By using the Platform, you consent to communications via phone, SMS, email, and mail.
Consent is not a condition of purchase. Message and data rates may apply.

11. Indemnification

You agree to indemnify Revvbid from claims arising from:

• Violations of these Terms
• Non-payment or default
• Legal or regulatory violations
• Unauthorized account use

11.1 Customer Service & Informal Resolution

Before arbitration, Buyer must contact [email protected].
Revvbid will respond within three (3) business days.

12. Dispute Resolution & Arbitration

12.1 Binding Arbitration

All disputes are resolved by binding arbitration on an individual basis only.
No class actions or jury trials.

12.2 Governing Law

These Terms are governed by the laws of the State of Connecticut.

13. General Provisions

• Privacy: Governed by the Privacy Policy at www.revvbid.com/privacy-policy
• Modifications: Continued use constitutes acceptance
• Severability: Invalid provisions do not affect others
• Assignment: Revvbid may assign freely
• Entire Agreement: Supersedes all prior agreements
